Welcome to Pro Web Design (accessible at https://www.prowebdesign.my). These Terms of Service (“Terms”, “Agreement”) govern the business relationship and engagement between Pro Web Design Enterprise (“Pro Web Design”, “we”, “us”, or “our”) and the client or website visitor (“Client”, “you”, or “your”).

These Terms describe general website-use and service conditions. Project-specific commercial terms require your acceptance of the relevant quotation or written agreement. An enquiry alone does not commit you to purchasing a service. Nothing here excludes rights or remedies that cannot lawfully be excluded.

1. Scope of Services

Pro Web Design provides professional digital solutions including, but not limited to:

  • Custom Corporate & Business Website Design and Development
  • eCommerce Online Store Setup & Payment Gateway Integration
  • Domain Name Registration & Web Hosting Configuration
  • Search Engine Optimization (SEO) & Digital Marketing Strategy
  • Website Maintenance, Security Hardening, and Technical Support
  • Website Redesign, Migration, and Performance Optimization

Specific project deliverables, specifications, timelines, and fees are defined in individual official project proposals, quotations, or invoices issued to the Client.

2. Project Workflow, Delivery & Timelines

  • Briefing & Consultation: Initial discussions via WhatsApp, phone, email, or meeting to determine design requirements, sitemap, and desired functionality.
  • Asset & Content Provision: The Client is responsible for supplying all required project assets (text copywriting, high-resolution logos, product details, images, media, and third-party account credentials) in a timely manner.
  • Development Timeline: Project timelines are confirmed in writing based on the agreed scope and commence after the agreed initial payment and required project materials have been received. Delays in asset submission or feedback will automatically extend delivery deadlines.
  • Review & Handover: Upon project completion on the staging or production server, the Client will be provided access for final review, testing, and training on website management.

3. Quotations, Fees & Payment Terms

  • Pricing: All project fees are quoted in Malaysian Ringgit (MYR) unless stated otherwise. Quotation validity is stated in the relevant quotation or confirmed in writing.
  • Payment Schedule: The deposit, payment stages, due dates and handover conditions are stated in your quotation, invoice or written project agreement. No fixed deposit percentage applies unless agreed in writing.
  • Accepted Payment Methods: Direct Bank Transfer (Instant Transfer / DuitNow), Online Banking, and PayPal. All official receipts and invoices are issued electronically.
  • Annual Renewals: Domain registration, web hosting, and SSL certificates are subject to recurring annual renewal fees. Non-payment of renewal fees by the due date may result in suspension or forfeiture of domain/hosting services.

4. Revisions & Scope Modifications

  • Each project package includes a predefined number of revision rounds (as specified in the package details or proposal) during the development phase.
  • Revisions include adjustments to styling, layout alignment, typography, and content placement within the agreed initial scope.
  • Requests for new features, structural additions, additional pages, or substantial architectural changes beyond the signed scope are considered Change Requests and will be billed separately at our standard hourly or fixed project rate.

5. Intellectual Property & Ownership Rights

  • Client Materials: The Client retains all intellectual property rights, trademarks, and copyright in all text, graphics, logos, and materials provided to Pro Web Design for inclusion in the project. The Client warrants that it owns or has obtained all necessary rights and licenses for materials supplied.
  • Deliverables Ownership: Upon full and final settlement of all outstanding invoices, full ownership of the custom website design, theme styling, and published content transfers to the Client.
  • Third-Party Components: Third-party open-source software (such as WordPress Core), plugins, themes, fonts, and stock assets remain subject to their respective vendor licenses (e.g., GNU General Public License, Envato License).
  • Portfolio & Attribution: Pro Web Design reserves the right to display completed project screenshots, links, and case studies in our portfolio, marketing materials, and social media channels. A subtle footer credit (“Designed By: Pro Web Design” linking to prowebdesign.my) may be included unless otherwise agreed in writing.

6. Client Responsibilities & Content Warranties

The Client agrees that it will not provide, request, or publish content that:

  • Infringes upon any third-party copyright, patent, trademark, or proprietary rights;
  • Violates any applicable Malaysian laws, including the Communications and Multimedia Act 1998;
  • Contains defamatory, fraudulent, obscene, or harmful materials (malware, phishing, or unlicensed software).

7. Hosting, Backups & Third-Party Services

  • While reasonable steps are taken to configure security and hosting, we do not warrant uninterrupted 100% uptime for third-party hosting, ISP connections, domain registry registrars, or payment gateway providers.
  • Periodic website backups are strongly recommended. Maintenance clients benefit from scheduled automated backups managed under our active maintenance agreements.

8. Cancellation, Termination & Refunds

  • Cancellation by Client: The Client may cancel a project in writing at any stage. Any refund or amount payable will be assessed against the written project agreement, work already performed, non-recoverable third-party costs and applicable law. Deposits are not automatically non-refundable under these general Terms.
  • Termination for Inactivity: If a project cannot proceed because essential materials or feedback are outstanding, we will contact the Client to agree on a revised schedule. Any suspension, archiving or reactivation charges must be communicated and agreed in writing.

9. Limitation of Liability & Indemnification

To the maximum extent permitted under Malaysian law, Pro Web Design Enterprise, its officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, punitive, or loss-of-profit damages arising out of the use or inability to use the website, server downtime, third-party software bugs, search engine algorithm updates, or cyber incidents.

The total aggregate liability of Pro Web Design for any direct claim arising from an engagement shall be strictly capped at the total amount actually paid by the Client to Pro Web Design for the specific service in dispute.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably through mutual good-faith consultation, failing which the courts of Penang / Malaysia shall have exclusive jurisdiction.
